Terms of Service

1. Scope

These Terms of Service apply to all contracts between Agiliton Ltd. (hereinafter "Provider") and the Customer regarding the use of the Managed Matrix Hosting Service "MatrixHost.eu".

2. Subject Matter

The Provider offers a managed Matrix communication server to the Customer. The scope of services depends on the selected plan (Starter or Pro).

3. Contract Formation

The contract is formed upon placing an order through the website and confirmation of payment by the payment service provider Revolut.

4. Prices and Payment

All prices are in Euros and include applicable VAT. Billing occurs monthly in advance. The Customer may pay by credit card, SEPA direct debit, or other methods available through Revolut.

5. Term and Termination

The contract is concluded for an indefinite period. Either party may terminate with 14 days' notice to the end of the current billing period.

6. Availability

The Provider targets 99.5% annual average availability. Scheduled maintenance will be announced at least 48 hours in advance.

7. Data Protection

The Provider processes personal data in accordance with GDPR. Details are outlined in the Privacy Policy. For data processing on behalf of the Customer, a DPA pursuant to Art. 28 GDPR is available.

8. Liability

The Provider's liability is limited to intent and gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations, limited to foreseeable, typically occurring damages.

9. Intellectual Property

All content and trademarks are owned by Agiliton Ltd. and protected by copyright. Unauthorized use is prohibited.

10. Governing Law

These terms are governed by the laws of the Republic of Cyprus. Disputes are subject to the jurisdiction of the courts of Cyprus.
